Terms of Service
Last updated 18 October 2026
These terms are an agreement between Meritleaf (“Meritleaf”, “we”, “us”) and the organisation that creates a Meritleaf account (“you”, the “Customer”). By creating an account or using the service you accept them. If you accept on behalf of an organisation, you confirm that you are authorised to do so.
1. The service
Meritleaf lets organisations design, issue, send, manage and revoke digital certificates and badges (“credentials”), and lets anyone verify them. Credentials are issued as W3C Verifiable Credentials in the Open Badges 3.0 format and are digitally signed with a key created for your organisation.
2. Your account
- You must give accurate information, keep your password private and tell us promptly at support@meritleaf.com about any unauthorised use. We recommend two-step sign-in for every team member.
- You are responsible for everything done under your account, including by team members you invite and by systems using your API keys.
- You must be at least 18 years old and able to enter a binding contract.
3. What you issue
- You may only issue credentials in the name of an organisation you represent, for achievements you have the authority to certify.
- You are responsible for the accuracy of every credential you issue and for having a lawful basis to process your recipients' personal data and to send them email. Meritleaf does not check that an achievement really happened.
- You can revoke or replace a credential at any time. A revoked credential shows as revoked to anyone who verifies it.
4. Acceptable use
You must not use Meritleaf to:
- issue false, misleading or fraudulent credentials, or impersonate another institution, accrediting body or person;
- send unsolicited bulk email or use credential emails for marketing or phishing;
- upload content that is unlawful, infringes someone else's rights, or contains malware;
- probe, overload or attack the service, get around plan limits, or access other customers' data.
We may pause issuing or suspend an account that breaks these rules or puts the service or other people at risk. Where we can, we will tell you first and give you a chance to fix the problem.
5. Your data
You own the data you put into Meritleaf and the credentials you issue. You give us permission to host, process, display and transmit that data only to provide the service. Our Privacy Policy explains how personal data is handled, including our role as your processor for recipient data. You can export every credential you have issued, at any time, as signed files that verify without Meritleaf.
6. Plans, allowances and fees
- Each plan includes a number of credentials per rolling 12 months and a number of team seats. Current plans: Free (250 credentials a year, 1 seat; $0), Professional (2,500 credentials a year, 5 seats; $129 a month, billed yearly), Business (10,000 credentials a year, 20 seats; $349 a month, billed yearly), Enterprise (custom; Custom).
- Paid plans are invoiced in advance, yearly unless agreed otherwise, and start when the invoice is paid. Fees exclude taxes, which you pay where they apply. Fees already paid are not refundable, except where the law requires it or we end the service without cause.
- We may change plans or prices with at least 30 days' notice. A change takes effect at your next renewal.
- The Free plan is offered as is and may be changed or withdrawn with 30 days' notice.
7. Availability and support
We work to keep Meritleaf available at all times but do not guarantee uninterrupted service, except where a separate written agreement says so. We may carry out maintenance, preferably at quiet times. Support is by email at support@meritleaf.com.
8. Security
We protect the service with industry-standard measures, including encryption in transit, encrypted signing keys, hashed passwords, a tamper-evident audit trail and regular backups. No system is perfectly secure. We will tell you without undue delay if we become aware of a security incident that affects your data.
9. Intellectual property
Meritleaf, its software, designs and brand belong to us or our licensors. You get a non-exclusive, non-transferable right to use the service during your subscription. Feedback you give us may be used to improve the service without obligation to you.
10. Ending the agreement
- You can close your account at any time by writing to support@meritleaf.com. We may end this agreement with 30 days' notice, or immediately for a serious breach of these terms.
- After an account ends, its public verification pages stay online for 12 months so recipients and employers are not left with broken links, unless you ask us to remove them sooner. Signed credential files keep verifying with any standards-based verifier, with or without Meritleaf.
- We delete your remaining data within 90 days after that, apart from what we must keep by law.
11. Warranties and liability
Apart from what is stated in these terms, the service is provided “as is”, without warranties of any kind, to the extent the law allows. Neither party is liable for indirect or consequential losses, or for lost profits, revenue or data. Each party's total liability under this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim (or USD 100 if you are on the Free plan). Nothing limits liability that cannot be limited by law.
12. Indemnity
You will defend and compensate us against third-party claims arising from credentials you issue, content you upload or your breach of section 3 or 4.
13. Changes and general terms
We may update these terms. We will give at least 30 days' notice of material changes by email or in the app; continuing to use Meritleaf after that means you accept them. These terms are the entire agreement on this subject unless you have signed a separate agreement with us, which then takes priority. If a part of these terms is unenforceable, the rest stays in force. These terms are governed by the laws of the country where Meritleaf is registered, and its courts have jurisdiction.
